1. Acceptance of Terms

By accessing, registering for, or using the PlaceDock platform ("Service" or "Platform"), operated by PlaceDock LLC ("PlaceDock," "Company," "we," "us," or "our"), you ("User," "you," or "your") accept and agree to be bound by these Terms and Conditions ("Terms," "Agreement," or "Terms of Service").

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

These Terms constitute a legally binding agreement between you and PlaceDock LLC. By using the Service, you represent that: - You have read, understood, and agree to be bound by these Terms - You are at least 18 years of age - You are legally capable of entering into binding contracts - You have the authority to bind any entity on whose behalf you are acting

These Terms apply to all users of the Service, including but not limited to property owners, property managers, landlords, tenants, renters, investors, vendors, service providers, and any other individuals or entities who access or use the Service.

2. Definitions

For purposes of these Terms, the following definitions apply:

"Account" means the user account created to access and use the Service.

"Content" means any text, data, information, images, documents, files, or other materials uploaded, submitted, or transmitted through the Service.

"Payment Processing Services" means the functionality that enables Users to process rent payments, security deposits, fees, and other financial transactions through the Platform.

"Personal Data" means any information relating to an identified or identifiable individual.

"Platform" or "Service" means the PlaceDock software platform, including all websites, mobile applications, APIs, and related services.

"Property Manager" means a User who manages one or more rental properties, including landlords, property owners, and professional property management companies.

"Subscription" means the paid subscription plan that provides access to the Service.

"Tenant" means a User who rents or leases a property managed through the Platform.

"Investor" means a User who owns or invests in rental properties and uses the Platform for portfolio management and reporting.

"Vendor" or "Service Provider" means a User who provides services related to property management, such as maintenance, repairs, inspections, or other professional services.

"Transaction" means any financial transaction processed through the Payment Processing Services, including rent payments, security deposits, fees, or other payments.

3. Description of Services

PlaceDock is a comprehensive property management software platform that provides tools and services for managing rental properties and facilitating relationships between Property Managers, Tenants, Investors, and Vendors.

3.1 Core Features

The Service provides the following core features:

For Property Managers: - Property portfolio management and organization - Rental unit tracking and management - Tenant lease management and documentation - Rent collection and payment processing - Financial transaction tracking and reporting - Expense categorization and management - Tax reporting and financial summaries - Maintenance task tracking and alerts - Document storage and organization - Communication tools for tenant interactions - Compliance monitoring and reminders

For Tenants: - Rent payment processing - Lease document access - Maintenance request submission - Communication with Property Managers - Payment history and receipts - Lease renewal notifications

For Investors: - Portfolio performance tracking - Financial reporting and analytics - Tax documentation and summaries - Property performance metrics - Investment return calculations

For Vendors: - Work order management - Invoice submission and tracking - Payment processing - Communication with Property Managers - Service history tracking

3.2 Optional Features

Optional features may include: - SMS notifications for alerts and reminders - Advanced reporting and analytics - Integration with third-party services - Premium support services - Additional storage capacity

3.3 Electronic Document Management

PlaceDock provides document storage and management features that allow Users to upload, store, and organize documents such as leases, invoices, inspection reports, W-9 forms, tax documents, receipts, and other property-related files.

No Document Review or Validation: - PlaceDock stores documents solely as a document management platform - We do not review, verify, validate, or certify any uploaded documents - We make no representations regarding the legality, enforceability, completeness, accuracy, or validity of any documents - We do not verify signatures, dates, or authenticity of documents - We are not responsible for the content of uploaded documents

User Responsibilities for Documents: - You are solely responsible for the accuracy and legality of all documents you upload - You must ensure all documents comply with applicable laws and regulations - You must maintain your own backup copies of all important documents - You are responsible for ensuring documents are properly executed and legally binding - You must verify that uploaded documents are complete and accurate - You are responsible for retaining original signed documents as required by law

Documents Are Not Legal Advice: - Uploaded documents, templates, or forms do not constitute legal advice - You should consult with an attorney to review all legal documents - PlaceDock does not provide legal document preparation services

Data Loss Risk: - While we implement backup procedures, we cannot guarantee against data loss - You agree to maintain independent backups of all critical documents - We are not liable for any loss, corruption, or deletion of documents

3.4 Service Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3.5 Service Availability and Uptime

No Uptime Guarantee: - We do not guarantee 100% uptime or uninterrupted access to the Service - The Service may be temporarily unavailable due to maintenance, updates, or technical issues

Potential Service Interruptions: Service interruptions may occur due to factors including but not limited to: - Scheduled maintenance and updates - AWS (Amazon Web Services) outages or infrastructure issues - Stripe payment processing outages or maintenance - SMS provider outages or delivery delays - Email service provider delays or failures - Internet connectivity issues - Third-party service provider failures - Cybersecurity incidents or DDoS attacks - Natural disasters or force majeure events

Scheduled Maintenance: - We may perform scheduled maintenance that temporarily interrupts service - We will attempt to provide advance notice of scheduled maintenance when possible - Maintenance windows may occur during off-peak hours but are not guaranteed

No Liability for Downtime: - We are not liable for any damages, losses, or costs resulting from service interruptions - We do not provide service level agreements (SLAs) or uptime guarantees - You should not rely on the Service for time-critical or emergency situations

3.6 Artificial Intelligence Features

PlaceDock may utilize artificial intelligence (AI) and machine learning technologies to provide enhanced features, including but not limited to: - Lease document summarization and analysis - Expense categorization and classification - Tax suggestion and optimization recommendations - Maintenance request classification and prioritization - Document OCR (Optical Character Recognition) and data extraction - Financial insights and analytics - Predictive maintenance alerts - Automated report generation

AI Disclaimer and Limitations:

AI-Generated Information May Contain Errors: - AI-generated information, suggestions, classifications, and outputs may be inaccurate, incomplete, or incorrect - AI models are not perfect and may produce unexpected or erroneous results - AI outputs should be treated as suggestions only, not as definitive or authoritative

User Responsibility for AI Outputs: - You are solely responsible for reviewing, verifying, and validating all AI-generated outputs - You must independently verify all AI suggestions, classifications, and recommendations - You should not rely solely on AI outputs for important decisions - You must review all AI-extracted data for accuracy before use

No Guarantee of AI Accuracy: - We make no warranties or guarantees regarding the accuracy, completeness, or reliability of AI features - AI models may produce different results over time as they are updated or retrained - AI features are provided "as is" without any warranty

Professional Review Required: - AI outputs do not constitute professional advice (legal, tax, financial, or otherwise) - You should consult with qualified professionals before relying on AI-generated information - AI tax suggestions must be reviewed by a licensed tax professional - AI lease analysis does not replace legal review by an attorney

4. User Accounts and Registration

4.1 Account Creation

To use the Service, you must create an Account by providing accurate, complete, and current information, including: - Full legal name - Valid email address - Secure password - Phone number (if opting in to SMS notifications) - Payment information (for paid subscriptions) - Additional information as required for your User role

4.2 Account Requirements

You represent and warrant that: - All information you provide is accurate, complete, and current - You are at least 18 years of age - You are legally capable of entering into binding contracts - You have the legal authority to bind any entity on whose behalf you are acting - You will maintain the accuracy of your Account information - You will not create an Account for anyone other than yourself without permission

4.3 Account Security

You are responsible for: - Maintaining the confidentiality of your Account credentials - All activities that occur under your Account - Immediately notifying us of any unauthorized access or security breach - Using a strong, unique password - Logging out after each session, especially on shared devices

You agree not to: - Share your Account credentials with any third party - Allow any third party to access your Account - Create multiple Accounts for the same individual or entity - Use another User's Account without permission

4.4 Account Verification

We reserve the right to verify your identity and Account information at any time. You agree to provide additional documentation or information as requested for verification purposes. Failure to provide requested verification may result in Account suspension or termination.

5. User Roles and Responsibilities

5.1 Property Manager Responsibilities

If you are a Property Manager, you agree to: - Comply with all applicable federal, state, and local laws, including Fair Housing laws - Provide accurate property and lease information - Maintain current and accurate tenant information - Process tenant payments in accordance with lease agreements - Respond to tenant maintenance requests in a timely manner - Maintain proper documentation for all properties and tenants - Ensure all lease agreements are legally valid and enforceable - Comply with all landlord-tenant laws and regulations - Not discriminate against tenants based on protected characteristics - Use the Service only for legitimate property management purposes

Fair Housing Compliance: Property Managers specifically agree NOT to use PlaceDock for: - Discriminatory advertising or property listings - Tenant screening that violates Fair Housing laws - Communications containing prohibited discriminatory language - Discriminatory tenant selection or rejection - Discriminatory terms, conditions, or privileges of rental - Harassment or intimidation of tenants based on protected characteristics - Retaliation against tenants who exercise Fair Housing rights

Protected Characteristics: You may not discriminate based on: - Race or color - National origin - Religion - Sex (including sexual orientation and gender identity) - Familial status (including children under 18 and pregnancy) - Disability or handicap - Any other characteristics protected by federal, state, or local law

Enforcement: - PlaceDock may suspend or terminate Accounts that violate Fair Housing laws - We may report suspected Fair Housing violations to appropriate authorities - We reserve the right to remove discriminatory content or listings - Violations may result in immediate Account termination without refund

5.2 Tenant Responsibilities

If you are a Tenant, you agree to: - Provide accurate personal and contact information - Make rent payments on time in accordance with your lease agreement - Report maintenance issues promptly - Comply with all terms of your lease agreement - Use the Service only for legitimate tenant purposes - Communicate respectfully with Property Managers and Vendors - Maintain the confidentiality of your Account credentials

5.3 Investor Responsibilities

If you are an Investor, you agree to: - Provide accurate ownership and investment information - Verify all financial calculations and reports with qualified professionals - Comply with all applicable tax laws and reporting requirements - Not rely solely on Platform calculations for tax or investment decisions - Use the Service only for legitimate investment management purposes

5.4 Vendor Responsibilities

If you are a Vendor, you agree to: - Provide accurate business and licensing information - Maintain all required licenses, insurance, and certifications - Perform services in a professional and timely manner - Comply with all applicable laws and regulations - Provide accurate invoices and payment information - Use the Service only for legitimate business purposes - Communicate professionally with Property Managers and Tenants

6. Platform Relationship and Limitations

6.1 PlaceDock is Not a Party to Transactions

IMPORTANT: PlaceDock is a technology platform that facilitates connections and transactions between Users. PlaceDock is not a party to any agreements, transactions, or relationships between Users, including but not limited to: - Lease agreements between Property Managers and Tenants - Service agreements between Property Managers and Vendors - Investment agreements or arrangements - Payment transactions between Users

6.2 No Agency Relationship

PlaceDock does not act as an agent, representative, or fiduciary for any User. We do not: - Represent Property Managers, Tenants, Investors, or Vendors - Negotiate or mediate disputes between Users - Guarantee the performance of any User - Verify the accuracy of information provided by Users - Endorse or recommend any User, property, or service

6.3 User-to-User Disputes

You agree that PlaceDock is not responsible for disputes between Users. Any disputes arising between Users must be resolved directly between the parties involved. PlaceDock may, at its sole discretion, provide information or assistance, but is under no obligation to do so.

6.4 No Guarantees

PlaceDock does not guarantee: - The quality, safety, or legality of properties listed on the Platform - The accuracy of information provided by Users - The performance or conduct of any User - The successful completion of any transaction - The availability or reliability of the Service - That Tenants will pay rent on time - That Property Managers will fulfill their obligations - That Vendors will perform services satisfactorily

6.5 Tenant Screening Disclaimer

If PlaceDock integrates with third-party tenant screening services (such as background check providers, credit bureaus like TransUnion or Experian, or screening services like Checkr), the following applies:

Third-Party Screening Information: - All screening information is provided by third-party screening services, not PlaceDock - PlaceDock does not conduct background checks, credit checks, or tenant screening - We make no representations or warranties regarding the accuracy, completeness, or reliability of screening information - Screening reports may contain errors, omissions, or outdated information

User Responsibility: - You are solely responsible for verifying screening information - You must comply with the Fair Credit Reporting Act (FCRA) and all applicable screening laws - You must provide required adverse action notices if you deny an applicant based on screening information - You are responsible for obtaining proper consent before conducting screening - You must use screening information only for lawful purposes

No Liability: - PlaceDock is not liable for errors in screening reports - PlaceDock is not liable for decisions made based on screening information - PlaceDock is not liable for violations of screening laws by Users

6.6 Maintenance and Emergency Liability

PlaceDock is Not Responsible for Maintenance: PlaceDock provides tools to track and manage maintenance requests but is not responsible for: - Performing maintenance or repairs - Responding to maintenance requests - Emergency maintenance situations - Property conditions or safety issues - Habitability of rental properties

Emergency Situations: The Service should NOT be relied upon for emergency maintenance situations, including but not limited to: - Burst pipes or flooding - Fire or smoke - Gas leaks - Electrical hazards - Structural damage - Carbon monoxide or other hazardous conditions - Mold or environmental hazards - Security breaches or break-ins - HVAC failures in extreme weather - Any situation requiring immediate attention

Emergency Response: - For emergencies, contact emergency services (911) or appropriate emergency maintenance providers directly - Do not rely on the Service's maintenance request system for emergencies - Property Managers are solely responsible for emergency response procedures - PlaceDock is not liable for delays in maintenance request notifications or responses

Maintenance Request Limitations: - Submitting a maintenance request through the Service does not guarantee a response or resolution - Property Managers are solely responsible for responding to and resolving maintenance issues - PlaceDock does not monitor, verify, or enforce maintenance request responses - We are not liable if Property Managers fail to respond to or resolve maintenance issues

7. Subscription Fees and Billing

7.1 Subscription Plans

Access to the Service requires a paid Subscription. Subscription plans and pricing are available on our website at https://placedock.com/pricing. We offer various Subscription tiers with different features and pricing.

7.2 Billing and Payment

By subscribing to the Service, you agree to: - Pay all Subscription fees in accordance with your selected plan - Provide valid payment information - Authorize us to charge your payment method on a recurring basis - Pay all applicable taxes - Update your payment information if it changes

7.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current Subscription fee for the renewal period.

7.4 Price Changes

We reserve the right to change Subscription fees at any time. Price changes will be communicated to you at least 30 days before the effective date. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

7.5 Late Payments

If payment is not received or cannot be charged to your payment method, we may: - Suspend or restrict access to your Account - Charge late fees as permitted by law - Terminate your Account - Pursue collection of outstanding amounts

7.6 No Refunds

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your Subscription, you will retain access to the Service until the end of your current billing period, but no refund will be provided for the unused portion.

8. Payment Processing Services

8.1 Payment Processing Features

The Service includes Payment Processing Services that enable Users to send and receive payments for rent, security deposits, fees, and other property-related transactions.

Payment Processing Provider: Payment Processing Services are provided exclusively through Stripe, Inc., a third-party payment processor. PlaceDock never takes possession of, holds, or has custody of customer funds at any time.

Stripe's Role and Responsibilities: All of the following payment-related functions are managed exclusively by Stripe, not PlaceDock: - Payment processing and authorization - Fund custody and holding - Know Your Customer (KYC) verification - Anti-Money Laundering (AML) compliance and verification - Payout processing and disbursement - Payment holds and reserves - Fraud detection and prevention - Payment disputes and chargebacks - Refund processing - Currency conversion - PCI DSS compliance - Bank account and card verification

PlaceDock's Limited Role: PlaceDock acts solely as a technology platform that: - Facilitates connections between Users and Stripe - Provides a user interface for payment initiation - Displays payment status and history - Sends payment notifications

No Financial Institution: PlaceDock is not a bank, money transmitter, payment processor, or financial institution. We do not provide financial services. All financial services are provided by Stripe.

PlaceDock is Not an Escrow Agent: - PlaceDock is not an escrow agent - PlaceDock does not hold funds in trust - PlaceDock does not act as a fiduciary with respect to any funds - Payments are transmitted directly through Stripe's payment infrastructure - All funds are held and managed by Stripe, not PlaceDock - PlaceDock has no control over, custody of, or access to customer funds at any time

Payment Disputes: - Payment disputes are between Users and Stripe, not PlaceDock - PlaceDock is not a party to payment transactions - PlaceDock is not liable for payment disputes, chargebacks, or refund issues

8.2 Fraud Prevention and Payment Security

Fraud Detection and Prevention: To protect the integrity of the payment system and comply with financial regulations, PlaceDock and Stripe may take the following actions:

Payment Holds and Delays: - We may delay payouts pending verification or investigation - We may freeze payments if suspicious activity is detected - We may hold funds to cover potential chargebacks or disputes - Holds may last until verification is completed or disputes are resolved

Identity Verification: - We may request additional identification documents - We may require additional documentation to verify transactions - We may require proof of business legitimacy or property ownership - Failure to provide requested documentation may result in payment holds or account suspension

Transaction Restrictions: - We may reject transactions that appear suspicious or high-risk - We may limit transaction amounts or frequency - We may restrict payments to or from certain parties - We may terminate payment processing capabilities for high-risk accounts

Reporting Suspicious Activity: - We may report suspicious activity to financial institutions, payment processors, and law enforcement - We may report potential fraud, money laundering, or other illegal activity - We are required to comply with anti-money laundering (AML) regulations - We may cooperate with investigations by authorities

User Cooperation: You agree to: - Respond promptly to verification requests - Provide accurate and truthful information - Cooperate with fraud investigations - Not engage in fraudulent or suspicious transactions - Not use the Service for money laundering or illegal purposes

No Liability for Fraud Prevention: - We are not liable for payment delays due to fraud prevention measures - We are not liable for account suspension or termination due to suspected fraud - We are not liable for losses resulting from fraudulent transactions by other Users

8.3 Payment Processor Terms

By using Payment Processing Services, you agree to comply with the terms and conditions of our third-party payment processors, including Stripe's Services Agreement and Connected Account Agreement. These third-party terms are incorporated into these Terms by reference.

8.4 Payment Processing Authorization

By using Payment Processing Services, you authorize: - PlaceDock to facilitate payments on your behalf - Our payment processors to hold, receive, and disburse funds - Charges to your designated payment method - Debits and credits to your connected bank account

8.5 Payment Methods

We accept the following payment methods: - Credit cards (Visa, Mastercard, American Express, Discover) - Debit cards - ACH bank transfers - Other payment methods as made available

8.6 Payment Processing Restrictions

You agree not to use Payment Processing Services for: - Illegal transactions or activities - Fraudulent or unauthorized transactions - Transactions that violate the terms of our payment processors - Transactions that violate applicable laws or regulations

8.7 Payment Holds and Reserves

We or our payment processors may hold or reserve funds in certain circumstances, including: - High-risk transactions - Suspected fraud or unauthorized activity - Chargebacks or disputes - Compliance with legal requirements - Account verification

8.8 Failed Payments

If a payment fails for any reason, we may: - Retry the payment - Notify the relevant parties - Suspend Payment Processing Services - Charge fees for failed payments as permitted by law

8.9 Tax Reporting

For Payment Processing Services, we may be required to collect tax information and report payments to tax authorities. You agree to provide accurate tax information, including: - Tax identification number (SSN, EIN, or ITIN) - W-9 or W-8 forms as applicable - Other tax documentation as required

We may issue Form 1099-K or other tax forms as required by law.

9. Transaction Fees and Pricing

9.1 Transaction Fees

In addition to Subscription fees, we charge transaction fees for Payment Processing Services. Transaction fees are calculated as a percentage of the transaction amount plus a fixed fee per transaction.

9.2 Fee Allocation

Transaction fees may be paid by: - The Property Manager - The Tenant - Split between parties - As configured in Account settings

9.3 Fee Changes

We reserve the right to change transaction fees at any time. Fee changes will be communicated at least 30 days before the effective date.

9.4 Additional Fees

Additional fees may apply for: - Failed or returned payments - Chargebacks and disputes - Expedited transfers - Premium features or services - International transactions - Currency conversion

10. Refunds and Chargebacks

10.1 Transaction Refunds

Refunds for Transactions processed through Payment Processing Services are subject to the following:

Property Manager-Initiated Refunds: - Property Managers may issue refunds to Tenants through the Platform - Refunds are processed through the original payment method - Transaction fees are not refunded unless required by law - Refunds may take 5-10 business days to process

Tenant-Requested Refunds: - Tenants must request refunds directly from Property Managers - PlaceDock does not mediate refund disputes between Users - Tenants may dispute charges with their payment provider

10.2 Subscription Refunds

Subscription fees are generally non-refundable. However, we may provide refunds in the following circumstances: - Service outage lasting more than 72 consecutive hours - Billing errors or duplicate charges - Cancellation within 14 days of initial signup (first-time subscribers only) - As required by applicable law

10.3 Chargebacks

Chargebacks occur when a User disputes a charge with their payment provider. You agree that: - Chargebacks may result in Account suspension or termination - You are responsible for chargeback fees (typically $15-25 per chargeback) - Excessive chargebacks may result in permanent Account termination - You will work with us to resolve disputes before initiating chargebacks

Property Managers are responsible for: - Responding to chargeback notifications - Providing evidence to dispute invalid chargebacks - Refunding legitimate disputes promptly

10.4 Chargeback Liability

If a chargeback is filed against a Transaction: - The Property Manager is liable for the chargeback amount - We may debit the chargeback amount from the Property Manager's account - We may hold funds or require reserves to cover potential chargebacks - Repeated chargebacks may result in Account termination

11. SMS Notifications and Communications

11.1 SMS Notification Consent

By opting in to receive SMS notifications, you provide express written consent to receive text messages from PlaceDock at the phone number you provide. SMS notifications may include: - Rent payment reminders - Lease expiration alerts - Maintenance task notifications - Compliance reminders - Account security alerts - Service updates and announcements

11.2 Opt-In Requirements

To receive SMS notifications, you must: - Provide a valid mobile phone number - Expressly consent through the registration form or Account settings - Confirm your consent via confirmation message - Be at least 18 years of age

11.3 Opt-Out Procedures

You may opt out of SMS notifications at any time by: - Replying "STOP" to any SMS message from us - Disabling SMS notifications in your Account settings - Contacting support@placedock.com

Upon opting out, you will receive a confirmation message and will no longer receive SMS notifications.

11.4 Message Frequency

Message frequency varies based on your activity and notification preferences. You may receive multiple messages per day depending on your portfolio activity and selected notification types. You can control message frequency by adjusting your notification preferences in Account settings.

11.5 Cost and Charges

PlaceDock does not charge additional fees for SMS notifications. However: - Standard message and data rates may apply from your mobile carrier - You are responsible for any charges from your mobile carrier - Check with your mobile carrier for details about your SMS plan

11.6 Message Delivery

We cannot guarantee delivery of SMS messages due to factors outside our control, including: - Mobile carrier network issues - Device settings and compatibility - Phone number changes or deactivation - Spam filters or blocking

If you do not receive expected messages, check your device settings and contact support@placedock.com.

11.7 SMS Privacy and Data

Your phone number is: - Used solely for SMS notifications as described in these Terms - Protected under our Privacy Policy - Not sold or shared with third parties for marketing purposes - Stored securely in accordance with our data security practices

11.8 TCPA Compliance

SMS notifications are sent in compliance with the Telephone Consumer Protection Act (TCPA) and all applicable laws and regulations. By providing your phone number and consenting to SMS notifications, you certify that you are the subscriber or authorized user of the phone number provided.

12. Acceptable Use Policy

12.1 Prohibited Uses

You agree NOT to use the Service for any unlawful purpose or in violation of these Terms. Prohibited uses include, but are not limited to:

Illegal Activities: - Any illegal purpose or activity - Violating any federal, state, local, or international law - Facilitating illegal transactions or activities - Money laundering or terrorist financing

Fraud and Misrepresentation: - Providing false, inaccurate, or misleading information - Impersonating any person or entity - Misrepresenting your identity, affiliation, or authority - Creating fake or fraudulent Accounts - Engaging in fraudulent transactions

Discrimination and Harassment: - Discriminating against any person based on race, color, religion, national origin, sex, familial status, disability, or other protected characteristics - Violating Fair Housing laws or regulations - Harassing, threatening, or abusing other Users - Posting offensive, defamatory, or inappropriate Content

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant PlaceDock a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

What Constitutes a Repeat Infringer: - Multiple valid DMCA notices against the same User - Pattern of uploading infringing content - Failure to respond to DMCA notices appropriately

14.5 False Claims

Warning: Under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material or activity is infringing, or that material was removed or disabled by mistake or misidentification, may be subject to liability for damages, including costs and attorneys' fees.

14.6 No Obligation to Monitor

PlaceDock has no obligation to monitor Content for copyright infringement. We do not pre-screen User Content. However, we reserve the right to investigate and take appropriate action when we become aware of potential infringement.

14.7 Safe Harbor Compliance

This DMCA Policy is intended to comply with the safe harbor provisions of the DMCA (17 U.S.C. § 512). PlaceDock qualifies as a service provider under the DMCA and is entitled to the protections afforded by the safe harbor provisions.

15. User Content and Data Ownership

You retain all ownership rights to Content you upload, submit, or transmit through the Service ("User Content"). PlaceDock does not claim ownership of your User Content.

15.2 License to PlaceDock

By uploading or submitting User Content, you grant PlaceDock a limited, non-exclusive, worldwide, royalty-free license to: - Use, store, process, and display your User Content - Cache, reproduce, and transmit your User Content - Create technical copies for backup, CDN distribution, and service delivery - Provide the Service to you and other Users - Backup and secure your User Content - Comply with legal obligations

Technical Operations: This license includes the right to make technical copies of your User Content as necessary for: - Content delivery network (CDN) distribution - Caching and performance optimization - Database replication and backups - Disaster recovery procedures - Service infrastructure operations

This license exists solely for the purpose of operating and providing the Service and terminates when you delete your User Content or Account, subject to reasonable retention periods.

We do not pre-screen User Content and are not responsible for User Content posted by Users.

15.6 AI-Generated Content Ownership

For Content Generated by AI Features:

User Owns Input: - You retain all ownership rights to data, prompts, and information you provide to AI features

User Owns Output: - You own AI-generated outputs to the extent permitted by applicable law - Ownership is subject to limitations imposed by AI model providers and applicable law

PlaceDock's Use of AI Data: - We may use anonymized and aggregated AI prompts and outputs to improve AI services - We will not use your specific, identifiable data for AI training without your consent - Anonymization removes all personally identifiable information

No Warranty on AI Outputs: - AI-generated content is provided "as is" without warranty - You are responsible for reviewing and verifying all AI-generated content before use

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLACEDOCK LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "PLACEDOCK PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

23.2 Types of Excluded Damages

This limitation applies to all damages, including but not limited to: - Loss of profits, revenue, or income - Loss of business or business opportunities - Loss of data or information - Loss of use or business interruption - Tax penalties, interest charges, or fines - Legal fees, compliance costs, or penalties - Damages resulting from reliance on Service calculations or data - Damages from data breaches or security incidents - Damages from service interruptions or failures - Damages from third-party actions or failures - Damages from User-to-User disputes or transactions - Damages from fraudulent or unauthorized transactions - Damages from payment processing errors or failures - Reputational harm or emotional distress - Any other damages, losses, or costs

23.3 Basis of Liability

This limitation applies regardless of: - The legal theory (contract, tort, negligence, strict liability, or otherwise) - Whether PlaceDock has been advised of the possibility of such damages - Whether the limited remedies fail of their essential purpose

23.4 Maximum Liability Cap

IN NO EVENT SHALL THE TOTAL LIABILITY OF PLACEDOCK PARTIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF: - (A) THE AMOUNT YOU PAID TO PLACEDOCK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR - (B) ONE HUNDRED DOLLARS ($100.00)

23.5 Allocation of Risk

You acknowledge that the fees charged by PlaceDock reflect this allocation of risk and the limitations of liability set forth in these Terms. These limitations are an essential basis of the bargain between you and PlaceDock.

23.6 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you, and you may have additional rights. However, the limitations shall apply to the maximum extent permitted by applicable law.

23.7 Payment Processing Liability

For Payment Processing Services specifically, PlaceDock's liability is further limited as follows: - We are not liable for failed, delayed, or incorrect payments due to User error, bank errors, or third-party failures - We are not liable for chargebacks, refunds, or disputes between Users - We are not liable for holds, reserves, or restrictions imposed by payment processors - We are not liable for tax reporting errors based on inaccurate User information

24. Indemnification

24.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless PlaceDock Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

Your Use of the Service: - Your access to or use of the Service - Your violation of these Terms - Your violation of any applicable laws or regulations - Your negligence or willful misconduct

Your Content and Data: - Your User Content or data you provide - Inaccurate or misleading information you provide - Your violation of third-party rights through your User Content

Your Transactions and Relationships: - Transactions you conduct through the Service - Disputes with other Users - Your relationships with Tenants, Property Managers, Investors, or Vendors - Lease agreements, service agreements, or other contracts - Your property management activities - Your rental properties or business operations

Legal and Regulatory Compliance: - Your violation of Fair Housing laws or regulations - Your violation of landlord-tenant laws - Tax penalties, interest, or fines resulting from your use of the Service - Your failure to comply with applicable laws or regulations - Your failure to maintain required licenses or insurance

Third-Party Claims: - Claims by Tenants, Property Managers, Investors, Vendors, or other third parties - Claims related to discrimination, harassment, or other misconduct - Claims related to property conditions, maintenance, or safety - Claims related to lease agreements or evictions

24.2 Defense and Settlement

PlaceDock reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with PlaceDock in asserting any available defenses. You may not settle any claim without PlaceDock's prior written consent.

24.3 Survival

This indemnification obligation survives termination of these Terms and your use of the Service.

25. Compliance with Laws

25.1 General Compliance

You agree to comply with all applicable federal, state, local, and international laws and regulations in your use of the Service, including but not limited to:

Fair Housing Laws: - Federal Fair Housing Act - State and local fair housing laws - Americans with Disabilities Act (ADA) - Prohibition on discrimination based on race, color, religion, national origin, sex, familial status, disability, or other protected characteristics

Landlord-Tenant Laws: - State and local landlord-tenant statutes - Security deposit laws - Eviction procedures and requirements - Habitability and maintenance requirements - Lease agreement requirements - Rent control and stabilization laws

Financial and Tax Laws: - Tax reporting and withholding requirements - Anti-money laundering (AML) laws - Bank Secrecy Act (BSA) - IRS reporting requirements - State and local tax laws

Communications Laws: - Telephone Consumer Protection Act (TCPA) - CAN-SPAM Act - State telemarketing and communication laws

Data Protection and Privacy Laws: - State data breach notification laws - California Consumer Privacy Act (CCPA) - Other applicable privacy laws

Payment Processing Laws: - Electronic Fund Transfer Act (EFTA) - Payment Card Industry Data Security Standard (PCI DSS) - State money transmitter laws

25.2 Licenses and Permits

You represent and warrant that you have obtained and will maintain all necessary licenses, permits, certifications, and registrations required for your use of the Service and your business activities, including: - Property management licenses - Real estate broker licenses - Business licenses - Contractor licenses (for Vendors) - Insurance policies

25.3 Reporting Obligations

You are responsible for all reporting obligations related to your use of the Service, including: - Tax reporting and filing - Reporting rental income - Issuing receipts and statements to Tenants - Maintaining required records - Reporting to regulatory authorities as required

25.4 Cooperation with Authorities

You agree to cooperate with law enforcement and regulatory authorities in connection with investigations or proceedings related to your use of the Service.

26. Monitoring, Enforcement, and Termination

26.1 Monitoring Rights

PlaceDock may, but has no obligation to: - Monitor use of the Service for compliance with these Terms - Investigate suspected violations - Review User Content for violations - Monitor Accounts for suspicious or fraudulent activity - Cooperate with law enforcement investigations

26.2 Enforcement Actions

If we determine that you have violated these Terms, we may take any of the following actions, at our sole discretion: - Issue a warning or notice of violation - Temporarily suspend your Account - Permanently terminate your Account - Remove or disable User Content - Restrict access to certain features - Hold or reserve funds - Report violations to law enforcement - Pursue legal action and seek damages

26.3 Termination by You

You may terminate your Account at any time by: - Contacting support@placedock.com - Following the Account cancellation process in your Account settings

Upon termination by you: - Your Subscription will be canceled (no refund for unused time) - You will retain access until the end of your current billing period - Your data will be retained for a reasonable period for backup and legal purposes - You may request a data export before termination

26.4 Termination by PlaceDock

We reserve the right to suspend or terminate your Account immediately, with or without notice, if: - You violate these Terms or our Acceptable Use Policy - You engage in fraudulent or illegal activity - Your Account is inactive for an extended period (typically 12 months) - We are required to do so by law or court order - Continuing to provide the Service would create legal liability for PlaceDock - You have excessive chargebacks or payment disputes - You fail to pay Subscription fees or other amounts owed

26.5 Effect of Termination

Upon termination of your Account: - Your right to access and use the Service immediately ceases - Your Subscription is canceled (no refund) - We may delete your User Content and data after a reasonable retention period - You remain liable for any outstanding obligations, fees, or amounts owed - Provisions that should survive termination continue to apply (see Section 25.8)

26.6 Data Export Before Termination

We recommend exporting your data before terminating your Account. After termination, we may delete your data in accordance with our data retention policies. We are not obligated to retain or provide your data after termination, except as required by law.

26.7 No Liability for Termination

PlaceDock is not liable to you or any third party for suspension or termination of your Account or access to the Service.

27. Dispute Resolution and Arbitration

27.1 Informal Dispute Resolution

Before filing a formal dispute, you agree to first contact PlaceDock at support@placedock.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiation for at least 30 days.

27.2 Binding Arbitration

If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except as provided in Section 23.6.

Arbitration Agreement: - Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules - The arbitration will be held in the United States, in the state where you reside or another mutually agreed location - The arbitration will be conducted by a single arbitrator - The arbitrator's decision will be final and binding - Judgment on the arbitration award may be entered in any court of competent jurisdiction

27.3 Class Action Waiver

YOU AND PLACEDOCK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both you and PlaceDock agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, consolidated, or representative proceeding.

27.4 Jury Trial Waiver

YOU AND PLACEDOCK WAIVE ANY RIGHT TO A JURY TRIAL for any disputes arising out of or relating to these Terms or the Service.

27.5 Arbitration Costs

Each party will bear its own costs of arbitration, including attorney fees, unless the arbitrator awards costs to the prevailing party. PlaceDock will pay the AAA filing fees for claims under $10,000 unless the arbitrator determines the claims are frivolous.

27.6 Exceptions to Arbitration

The following disputes are NOT subject to arbitration: - Small claims court actions (if the claim qualifies) - Claims for injunctive or equitable relief to protect intellectual property rights - Claims related to violations of the Computer Fraud and Abuse Act

27.7 Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

27.8 Venue

For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

27.9 Opt-Out of Arbitration

You may opt out of the arbitration agreement by sending written notice to PlaceDock at support@placedock.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

28. Changes to Terms

28.1 Right to Modify

PlaceDock reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. Changes may be made to: - Reflect changes in the Service or features - Comply with legal or regulatory requirements - Address security or operational concerns - Clarify or improve the Terms

28.2 Notice of Changes

We will notify you of material changes to these Terms by: - Posting a notice on the Service or website - Sending an email to your registered email address - Displaying a notification in your Account - Updating the "Last Updated" date at the top of these Terms

We will provide at least 30 days' notice for material changes that adversely affect your rights.

28.3 Acceptance of Changes

Your continued use of the Service after changes are posted or notified constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must: - Stop using the Service immediately - Terminate your Account before the effective date of the changes

29. General Provisions

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and PlaceDock regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral.

29.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms.

29.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. PlaceDock's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

29.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without PlaceDock's prior written consent. PlaceDock may assign these Terms or any rights hereunder without your consent. Any attempted assignment in violation of this section is void.

29.5 No Third-Party Beneficiaries

These Terms are for the benefit of you and PlaceDock only. No third party has any right to enforce or benefit from these Terms, except as expressly provided herein (e.g., PlaceDock Parties for indemnification and limitation of liability).

29.6 Force Majeure

PlaceDock is not liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: - Acts of God, natural disasters, or severe weather - War, terrorism, civil unrest, or government actions - Pandemics or public health emergencies - Internet or telecommunications failures - Power outages or infrastructure failures - Third-party service provider failures (including AWS, Stripe, SMS providers, email providers) - Cloudflare or CDN service failures - DNS failures or domain system outages - Internet backbone outages or routing issues - Cyberattacks or security incidents

29.7 Notices

Notices to you will be sent to the email address associated with your Account. You agree that electronic notices satisfy any legal requirement that notices be in writing.

29.8 Survival

29.9 Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.

29.10 Interpretation

In these Terms: - "Including" means "including but not limited to" - Singular terms include the plural and vice versa - "Or" is not exclusive - "May" means has the right but not the obligation - "Will" or "shall" indicates a mandatory obligation

29.11 Language

These Terms are written in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translation, the English version controls.

29.12 Electronic Signatures

You agree that your electronic acceptance of these Terms (by clicking "I Agree," creating an Account, or using the Service) constitutes your signature and agreement to be bound by these Terms, with the same legal effect as a handwritten signature.
